BINARYKOL Terms of Service

BINARYKOL Terms of Service

Welcome to binarykol.com (the "Website" or the "Platform"). These Terms of Service (the "Terms") govern the rights and obligations between you (the "User" or "Member") and the Platform.

By completing registration on the Website, checking "I agree to the Terms of Service", or placing any paid order or subscription, you are deemed to have read, understood and agreed to the entire contents of these Terms.

1. Member Registration & Account Security

1. Users shall provide true, correct and up-to-date personal or business information upon registration. If any failure of transaction, shipping delay or non-delivery of notices results from incorrect information, the User shall bear the consequences.

2. Users shall keep their account credentials safe. Any action taken after login with the account (such as ordering, payment or profile changes) is deemed the act of the account holder. The User shall notify the Platform immediately upon discovering any unauthorized use of the account.

2. Purchase & Transaction Terms (applicable to one-time orders, course enrolment and product purchases)

1. Order formation: After the User places an order and completes payment, the system sends an automatic confirmation email. The Platform reserves the right to refuse or cancel orders for legitimate reasons such as insufficient stock, pricing errors or system malfunctions. Course enrolments and event bookings are treated as orders.

2. Payment: The Platform integrates lawful third-party payment channels. Users must pay with a credit card, third-party payment account or bank account held by themselves or duly authorized by the holder. In cases of fraud or unauthorized card use, the Platform will cooperate with judicial authorities and immediately terminate the account.

3. Returns & cooling-off policy:

Physical goods: Under the Consumer Protection Act, consumers enjoy a seven-day cooling-off period (for inspection, not trial) from the date of delivery. Returned goods must be brand new with complete packaging.

Digital content / software services / SaaS: Under the Rules Governing Reasonable Exceptions to the Right of Rescission for Distance Transactions, digital system services, data reports and online software provided by the Platform are NOT subject to the seven-day cooling-off period once activated, paid and downloaded, or once service delivery begins. No refunds will be granted.

Offline courses & in-person events: Refund requests made 7 days or more before the course/event start date will be honored after deducting necessary administrative fees; requests made within 3 days before the start date or after the course begins are non-refundable, but the seat may be transferred to another person subject to each course page's rules. If a course is cancelled due to insufficient enrolment, all fees paid will be refunded in full.

Business customers (B2B): Transactions made in the name of a company, firm or organization invoiced or contracted separately (including corporate training, consulting services, system development and account management services) are commercial B2B transactions, to which the seven-day consumer cooling-off period does not apply. Refunds and acceptance shall follow the terms agreed between the parties.

Cross-border transactions: Orders are settled in the currency shown on the purchase page (NTD or RMB). Exchange differences, import duties and local taxes arising from cross-border transactions shall be borne by the User.

Live-commerce & third-party sellers: For goods sold via livestream, the actual seller is the brand or supplier identified for the product. The Platform will assist consumers in forwarding return and refund requests to the actual seller; this arrangement does not affect consumers' statutory rights.

3. Subscription & Auto-Renewal Terms (applicable to recurring payments / subscriptions)

1. Plans & billing cycle: The Platform offers subscription plans at different tiers (e.g. monthly, annual). The service scope, access rights and pricing of each plan are clearly stated on the purchase page.

2. Auto-renewal: To keep the service uninterrupted, subscriptions are set to auto-renew by default. The system will automatically charge the next period's fee to the bound credit card or payment account on or before the expiry of each billing cycle.

3. Cancellation & termination: Members may cancel the next period's auto-renewal at any time via 'Account Settings' in the Platform dashboard. After cancellation, the service remains available until the last day of the paid period. The Platform does not provide pro-rata refunds for the current period.

4. Service Changes, Interruption & Rate Adjustments

1. The Platform reserves the right to adjust, modify or discontinue any features, paid plans or subscription rates at any time. Rate adjustments take effect in the next billing cycle and will be announced on the Website or by email at least 30 days before taking effect. Users who do not accept the adjustment shall cancel their subscription before the new cycle begins.

2. For temporary service interruptions caused by force majeure or system maintenance, compensation and liability limitations are governed by the Platform's Disclaimer.

5. Breach & Service Termination (Account Suspension)

If any of the following occurs, the Platform may suspend or permanently terminate the member account without prior notice, refuse the User's access to all or part of the services, and shall not refund any fees already paid:

Providing false information, impersonating others, or using fraudulently obtained credit cards.

Using the Platform for illegal transactions, malicious attacks, unauthorized data scraping, or infringement of others' intellectual property rights.

Deliberately circumventing the Platform's billing mechanisms, violating fair-use principles (e.g. an abnormally high number of concurrent devices on one account, maliciously sharing or leaking system access), or unauthorized recording, downloading or distribution of course content and system materials.

6. Intellectual Property

All course content, teaching materials, videos, images, data reports and software systems provided by the Platform are owned by the Platform or its lawful licensors. These Terms grant the User a license to use them for personal learning or within the scope agreed by contract only; reproduction, resale, public transmission or commercial exploitation is prohibited. The display and licensing scope of student portfolios shall follow the rules stated on each course page.

7. Personal Data Protection

The User agrees that the Platform may collect, process and use his/her personal data in accordance with the Personal Data Protection Act and the Platform's Privacy Policy, for the purposes of providing the services described in these Terms, marketing notices and customer service.

8. Governing Law & Jurisdiction

These Terms, their validity, and any dispute arising from the services shall be governed by the laws of the Republic of China (Taiwan). The parties agree that the Taiwan Kaohsiung District Court shall have first-instance jurisdiction over any dispute arising from the services.
